Calian, in Major U.S. Move, to Buy Computex From American Virtual, Which Plans to Focus on Kandy

Computex Technology Solutions will become part of Calian Group Ltd., as current owner American Virtual Cloud Technologies Inc. plans to focus on its Kandy cloud communications business.

Blank-check company Pensare Acquisition Corp. merged with Computex and changed its name to American Virtual Cloud Technologies in April 2020.

Houston-based Computex has operations encompassing data centers, networking, cybersecurity and other services.

Ottawa-based Calian said the $30 million deal represents its “first major strategic entry into the US market” and helps it move “towards a full-service model that will provide end-to-end IT and cyber solutions.”

Calian has a wide range of activities, including health services, information technology, satellite communications, antenna manufacturing and agricultural technology.

The Computex deal will add 1,100 customers in healthcare, oil and gas and manufacturing, with “cross sell opportunities across our business units,” supporting Calian’s plans to become a “one-billion-dollar global company.”

American Virtual bought Kandy Communications from Ribbon Communications Inc. American Virtual said in December that it projected revenue for the Kandy unit would rise from $14.3 million in 2020 to about $18.8 million in 2021 and more than $37 million in 2022 amid a rapid increase in subscriber growth.

The company said Thursday that sale proceeds and use of cash on hand are expected to leave the company debt-free.
